Nothing on this Website creates a contractual obligation, guarantee, warranty, service level commitment, or professional relationship.

In the event of any conflict between Website content and a written agreement, the written agreement controls.

11. Force Majeure

• Labor disputes
• Government actions
• Telecommunications failures

12. Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Website shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall take place in Lancaster County, Nebraska.

The arbitrator’s decision shall be final and binding.

13. Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY.

14. Class Action Waiver

ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.

NO PARTY MAY PARTICIPATE IN:

• A CLASS ACTION
• CLASS ARBITRATION
• REPRESENTATIVE ACTION
• MASS ACTION
• PRIVATE ATTORNEY GENERAL ACTION

15. Attorney Fees

In any dispute arising from these Terms, the prevailing party shall be entitled to recover:

• Reasonable attorney fees
• Court costs
• Arbitration costs
• Expert witness fees
• Collection costs

Including fees incurred before trial, at trial, on appeal, and during collection proceedings.

16. Governing Law

These Terms shall be governed by and construed under the laws of the State of Nebraska without regard to conflict of law principles.

17. Severability

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

18. Assignment

SulTek may assign or transfer its rights and obligations under these Terms without notice.

Users may not assign any rights under these Terms without SulTek’s prior written consent.

19. Entire Agreement

These Terms, together with the Privacy Policy, SMS Terms & Conditions, and Disclaimer, constitute the entire agreement regarding Website use.

20. Changes to Terms

SulTek reserves the right to modify these Terms at any time.

Updated versions become effective immediately upon posting.

Continued use of the Website constitutes acceptance of revised Terms.
